1. Definitions

In these Terms:

  • Company means Mills-Tui Limited.
  • Customer means the person or entity purchasing Goods through the Website.
  • Goods means the parts, products, or other items offered for sale by Mills-Tui Limited.
  • Order means a request submitted by the Customer to purchase Goods.
  • Website means the Mills-Tui Limited online store.

2. Application of Terms

2.1 These Terms apply to all Goods purchased through the Website.

2.2 By placing an Order through the Website, the Customer confirms that they have read and accepted these Terms.

2.3 Company may update these Terms from time to time. The Terms in effect at the time an Order is placed will apply.

2.4 If the Customer holds a trade account or credit account with Company, the Customer’s purchases may also be governed by the separate account or credit agreement between the Customer and Company. Where any inconsistency exists between these Terms and the Customer’s account agreement, the account agreement will prevail.

3. Ordering

3.1 Orders may be placed through the Website.

3.2 An Order constitutes an offer by the Customer to purchase Goods.

3.3 Company may accept or decline any Order at its discretion.

3.4 An Order is accepted when Company confirms the Order by email or dispatches the Goods.

3.5 The Customer is responsible for ensuring that all Order details, including product selection, quantities, and delivery details, are correct.

4. Products Not Listed on the Website

4.1 Not all products available from Company may be listed on the Website.

4.2 If a Customer requires a product that is not listed, the Customer may contact Company to request purchase or pricing.

4.3 Orders for such products may be placed through email to parts@Company.co.nz, telephone, written request, or other verbal or written communication accepted by Company.

4.4 Orders placed outside the Website will still be subject to these Terms unless otherwise agreed in writing.

5. Pricing

5.1 All prices displayed on the Website are in New Zealand Dollars (NZD).

5.2 Prices are exclusive of delivery charges unless otherwise stated.

5.3 GST will be applied where required under New Zealand law.

5.4 Company reserves the right to change prices at any time without notice.

5.5 If a pricing or product description error occurs, Company may cancel the Order and refund any payment made.

6. Payment

6.1 Payment must be made at the time the Order is placed unless the Customer has an approved Company credit account.

6.2 Accepted payment methods will be displayed on the Website.

6.3 Orders will not be processed until payment has been successfully received.

6.4 Where the Customer has an approved credit account, payment terms will be governed by the Customer’s account agreement with Company.

7. Availability of Goods

7.1 All Goods are subject to availability.

7.2 If Goods become unavailable after an Order is placed, Company may cancel the Order and refund the payment or offer an alternative product.

8. Delivery

8.1 Company will arrange delivery to the address provided by the Customer.

8.2 Delivery timeframes are estimates only.

8.3 Company is not liable for delivery delays caused by third-party carriers or circumstances beyond its control.

8.4 Delivery is deemed to occur when the Goods are delivered to the address supplied by the Customer.

9. Risk and Ownership

9.1 Risk in the Goods passes to the Customer upon delivery.

9.2 Ownership of the Goods passes to the Customer once full payment has been received unless otherwise provided in a separate credit agreement.

10. Returns and Faulty Goods

10.1 The Customer must notify Company within 5 working days of delivery if Goods are damaged, defective, incorrect, or incomplete.

10.2 Company may request evidence or return of the Goods before approving any claim.

10.3 If a claim is accepted, Company may repair the Goods, replace the Goods, or refund the purchase price.

10.4 Returns must be approved by Company before Goods are returned.

11. Product Selection and Compatibility

11.1 The Customer is responsible for ensuring that the Goods ordered are suitable for their intended use, equipment, or application.

11.2 Where product compatibility depends on vehicle, machinery, or equipment specifications, the Customer must confirm that the selected Goods are correct before placing an Order.

11.3 Company is not responsible for Goods ordered incorrectly by the Customer, including where incorrect part numbers, models, or specifications are selected.

12. Installation and Use of Goods

12.1 The Customer is responsible for ensuring that Goods are installed, fitted, and used correctly.

12.2 Company is not responsible for damage, loss, or injury resulting from incorrect installation, improper use, modification of Goods, or failure to follow manufacturer instructions.

12.3 Where installation instructions are provided, the Customer must ensure the Goods are installed in accordance with those instructions.

13. Freight Damage and Transit Issues

13.1 The Customer must inspect Goods upon delivery.

13.2 Any damage occurring during transit must be reported to Company within 2 working days of delivery.

13.3 Where freight damage is reported within the required timeframe, Company will work with the freight carrier to resolve the issue.

13.4 Claims for freight damage may not be accepted where Goods have been signed for as received in good condition.

14. Consumer Guarantees Act

14.1 Where Goods are purchased for personal, domestic, or household use, the Consumer Guarantees Act 1993 applies.

14.2 Where the Goods are purchased for business purposes, the Customer agrees that the Consumer Guarantees Act 1993 is excluded to the maximum extent permitted by law.

15. Limitation of Liability

15.1 To the maximum extent permitted by law, Company is not liable for any indirect or consequential loss arising from the supply or use of Goods.

15.2 Company’s total liability in connection with any Order will not exceed the price paid for the relevant Goods.

16. Website Information

16.1 Company makes reasonable efforts to ensure product descriptions and specifications are accurate.

16.2 Company does not guarantee that Website content is free from errors or omissions.

17. Privacy

17.1 Company collects and uses personal information in accordance with the Privacy Act 2020.

17.2 Personal information may be used for processing Orders, delivery of Goods, and customer service.

18. Intellectual Property

18.1 All Website content including images, descriptions, trademarks, and logos are the property of Company unless otherwise stated.

18.2 Content may not be reproduced without written permission from Company.

19. Governing Law

19.1 These Terms are governed by the laws of New Zealand.

19.2 The parties submit to the jurisdiction of the courts of New Zealand.
